Here at MHC Men’s Health Clinic Ltd. (“MHC”), we pride ourselves on our professionalism by providing you with access to the best customer service possible for erectile dysfunction (ED), premature ejaculation (PE) and testosterone deficiency (TD). 

Medical Evaluation 
The first step of the journey is to complete a medical evaluation with a licensed Medical Practitioner who will be able to determine a proper treatment plan. While you can consult any Medical Practitioner of your choice, «Opportunities.Initial Appointment Doctor Name», an experienced Medical Practitioner who is part of our network, would be available to offer you an appointment on «Opportunities.Appointment Start Time-». Please communicate with «Opportunities.Performance Manager», your assigned Performance Manager, to confirm this appointment, reschedule the appointment or decline the offer to meet with a Medical Practitioner who is part of our network. 

For your Medical Practitioner’s appointment, the Medical Practitioner will endeavour to contact you by trying to call you at least 3 times on the agreed date and time of your evaluation. If you miss your medical evaluation, there will be a $50 penalty fee which will need to be paid to rebook your consultation. 

Photo Identification 
Prior to your medical evaluation please upload your valid government issued photo identification (such as driver’s licence or passport) using the link provided to you by SMS and email. This will be required prior to any of your medication being purchased and despatched. If you need any assistance, please advise your Performance Manager in your Welcome Call. 

Performance Manager 
Our Performance Managers are here to guide you every step of the way. Please maintain communication with your assigned Performance Manager so we can assist you throughout your journey.

You understand and agree that although your assigned Performance Manager is not a Medical Practitioner, he/she has undergone sufficient training and has been authorized by your Medical Practitioner to view all your medical notes and records in order to effectively manage your treatment program. 

Subscription Program 
You have elected to enroll in a subscription program. Our subscription programs continue until they are terminated by you or by us. The program we have available are priced according to the minimum duration that you have agreed to. These include 3-, 6-, or 12-month minimum duration programs (or another program). By entering into this agreement, you agree to be bound by the minimum duration and understand that the subscription cannot be cancelled (unless deemed medically unsuitable) until after the minimum duration period has been completed. You agree to make all of the payments of your subscription program whether quarterly, bimonthly, or otherwise until the minimum duration of the program has been completed. 

You understand that the subscription program will continue past the minimum duration period until the program is terminated. You also agree that under any of our programs you must have a Medical Practitioner evaluation at least once every 12 months.  

Where you are experiencing financial hardship, you may be able to put your program on hold for a limited duration. Please contact your Performance Manager where required. 

Costs 
The initial cost for taking part of the program is «Opportunities.Amount Paid-» (the “Initial Cost”). This is payable before your appointment with our Medical Practitioner, which include a non-refundable fee (the “Non-Refundable Fee”) to cover for the Services and materials provided up to your medical evaluation. If your medical evaluation is made by a Medical Practitioner who is part of our network, the costs of said evaluation shall also be included in that Non-Refundable Fee. Should your medical evaluation determine that none of the treatment plans to which we are providing access are appropriate for your situation, we will refund you the difference between the Initial Cost that you paid and the Non-Refundable Fee. 

Please note that the Initial Cost includes the continued communication and follow-ups by our Performance Managers, the various documentation that we will provide you throughout your treatment, and subsequent follow-up consultations with a Medical Practitioner from our network for the term of your treatment plan, not to exceed [Program End]. The Initial Cost does not include the cost of any medication that may be part of a treatment plan prescribed to you by your Medical Practitioner. Should we assist you with the procurement of said medication with a pharmacy part of our network, the costs of said medication will be invoiced separately. You will retain the right to choose the pharmacy that will fulfill any prescription to be issued by your Medical Practitioner, if any. If your Medical Practitioner determines that a new treatment plan is required at the end of your program, a new arrangement will need to be made between us. 

Payment in full is accepted on all major credit cards or via pre-authorized debit through your bank. 

Terms and Conditions

Attached hereto are the terms and conditions for the provision of our services (the “Terms & Conditions”). By signing this letter, you agree to be bound by the Terms & Conditions which are deemed to be an inclusive part hereof. 

It is important to understand that even though the treatment accessed through MHC may alleviate your symptoms, there may be an underlying cause which may require further investigation. If this is so, you may need to visit your general practitioner (GP) or a related specialist to explore the root cause further. 

1. Agreement

You acknowledge that when you make your initial payment to us, an agreement comes into effect between you, the Client, and we, MHC Men’s Health Clinic Ltd (BCIN BC1317300) on the terms and conditions below (referred to as this “Agreement”). 

2. Interpretation

In this Agreement: 
Client (“You / Your”) means the client signing up to the Services. 

Condition means one or more of Erectile Dysfunction, Premature Ejaculation and Testosterone Deficiency. 

Medical Practitioner means one or more registered Medical Practitioners to whom we will refer You as part of the Services. 

Fees means the initial fee payable in respect of our Services, which has been disclosed to you in the Welcome Letter, as well as the cost of the prescribed medication, if any, which will be disclosed in writing to you or on the phone prior to your decision to enroll in same. 

MHC (“We / Our / Ourselves / Us”) means MHC Men’s Health Clinic Ltd (BC1317300). 

Plan means the treatment plan prescribed to you by the Medical Practitioner and accepted by you. 

Treatable means that upon consultation and assessment, the Medical Practitioner is of the opinion that your Condition is suitable for treatment under the plans for which we are coordinating access. 

Treatment means the medications and/or therapies prescribed by the Medical Practitioner in relation to your Condition after consultation and assessment, including any replacement or alternative Treatments that may subsequently be prescribed by the Medical Practitioner. 

3. Services

In return for the Fees, we will provide you with the Services, in accordance with the Welcome Letter and the Agreement. We are providing services consisting in the coordination of various health professionals, including doctors, nurse practitioners and pharmacists, in view of helping you getting access to a Treatment for your Condition in the easiest way possible, with a satisfying customer experience. We are not providing the professional services of the Medical Practitioners and pharmacists with whom you will interact or with whom we will interact on your behalf in connection with your treatment or a Plan, and in no way do we purport to provide medical, pharmacological or other health advice or treatment to you. Instead, we are coordinating your relationship with such professionals, in assisting with setting up the appointments and making the necessary payments on your behalf, out of the Fees. 

Our services also include access to a performance manager who is a point of contact for the coordination with the various health professionals that may be involved in your plan. Such performance manager is not a licensed healthcare professional but is instead a customer service agent available to listen and interact with you on an as required basis. 
To the extent resources are made available by us during a Treatment, such a guides and other similar materials, such resources reflect the opinions of their author only and do not engage us in any way. 

4. Fees

The Initial Fee includes disbursements paid or which become payable for the term of the treatment, such as the cost of medical consultations with a Medical Practitioner, regular performance management, merchant or credit card fees, administration, cost for other services provided and any other recommended treatment charges as agreed previously in writing, but exclude the cost of any medication or drugs prescribed by your Medical Practitioner. The initial fee includes initial, and reasonable ongoing, consultation and assessment (typically over the phone) regarding your Condition and its treatment (including the provision at no additional cost of any prescription required for a Treatment if deemed appropriate by the Medical Practitioner) and any reasonable further testing (such as a blood test) recommended by your Medical Practitioner. 

After the initial consultation with your Medical Practitioner and provided he or she has prescribed a Treatment including medications, we will present you with an option for the sourcing of said medications from a registered pharmacist on your behalf in accordance with your prescription and for its delivery to you at your nominated address. Separate fees will be applicable for said service, and they will be communicated to you before you agree to purchase this additional service and said medications. We reiterate that you will remain free to choose the pharmacy of your choosing to procure said medications. 

The Initial Fee does not include the fees for the consultation of any professional outside of our network. As such, if you decide to consult your own Medical Practitioner, you will need to pay the costs associated with such consultation, and we will not grant you any reduction on our initial fee. 

5. Treatment

You agree to: 

a. fully and transparently inform the Medical Practitioner of your Condition, its history and any other potentially relevant factors, and fully and truthfully answer any questions asked of you by the Medical Practitioner; 

b. notify your assigned performance manager in the rare situation that you encounter any problems with your Treatment, or develop any significant health complication, whether related to your Condition or the Treatment or otherwise; 

c. inform the Medical Practitioner of any other drugs or medications You are taking from time to time, and of any changes to your medication routine; and 

d. adhere to any instructions or directions provided by the Medical Practitioner. 

6. Confidentiality

You are voluntarily disclosing your personal health information and financial information (“personal information”) for the purposes of obtaining the Services. We will take reasonable steps to protect all personal information in accordance with our privacy policy, which can be found here: https://menshealthclinic.com/ca/privacy-policy/. However, you understand that there are risks involved in disclosing personal information. You are voluntarily accepting all of the risks associated with disclosing personal information, electronically or otherwise. 

7. Capacity and liability

You acknowledge and agree as follows: 

a. The Medical Practitioners to whom we will refer you as part of the Services are «Province» registered Medical Practitioners familiar with the Conditions and their treatments, and the pharmacists from whom we will suggest that your Medication be sourced are registered pharmacists, but we are not responsible for the manner in which they conduct themselves in the discharge of their professional duties and obligations. You release us from and indemnify us against any and all claims by you in connection with any act or omission of the Medical Practitioner or of any pharmacist involved in your Treatment. 

b. We have a deep understanding of the Conditions and of treatment options, but we are not registered Medical Practitioners or registered pharmacists and do not purport to represent ourselves as such. 

You will pay us the fees in relation to your Plan, and any other costs, losses, damages or expenses we may suffer or incur in connection with any breach of this Agreement by you. 

8. Indemnification

The Medical Practitioner to whom you will be referred to will be a physician insured in Canada and licensed to practice in the province of «Province». The pharmacist we will suggest for the sourcing of said medications will be insured in Canada and licensed to practice in at least one of the Canadian Provinces. You release us from and indemnify us against any and all claims by the you in connection with any act or omission of the Medical Practitioner or of any pharmacist from whom we source your Treatment, in any Courts and/or regulatory or administrative bodies as you understand that they are third parties not acting on our behalf and that we are not acting on their behalf. 

9. Termination

a. We may terminate the provision of the Services prior to the expiry of the term of your selected Plan if: 

  • the Medical Practitioner determines on medical grounds that your Condition is no longer suitable for the Treatment; or 
  • we are no longer able to provide you with the Services. 


b. Either we or you may terminate the Services (including prior to the expiry of the term of your selected Plan) by providing the other party with sufficient prior written notice. 

c. Upon the termination of the Services by us, we will refund you an amount corresponding to the Fees (including the cost of medications), less: (i) the Non-Refundable Fee as outlined in the Welcome Letter, (ii) if a Treatment was prescribed,  we will cease the subscription and no other fees shall be payable by you and no refund shall be payable by us. 

d. Upon the termination of the Services by you, we will refund you an amount corresponding to the Fees (including the cost of medications), less: (i) the Non-Refundable Fee as outlined in the Welcome Letter, (ii) if a Treatment was prescribed, and you are within the initial subscription period (being the minimum period of the subscription that you have selected) you must pay the remaining balance left for the subscription period as if you were to continue the Services.  

10. Non Payment by You:

You are expected to make payments on the date the subscription payment is due. This is a requirement for Us to provide You continued treatment.  

a. Where you fail to make a subscription payment on time you may be charged a non-payment fee by us of $50 for collection administration. Interest may be charged at a rate of 20% per annum for late payments. 

b. Where you stop making payments, fail to continue with the subscription payments, fail to make a payment for over 30 days, or advise us that you will no longer make payments for the subscription as agreed to under this agreement, you agree that we may charge you a Cancellation Fee equivalent to the sum of all of the remaining payments under the minimum duration of the subscription program (as per 9. c. above) in full and that you will pay that balance. This Cancellation Fee does not include any Services or medication. The Cancellation Fee may be discounted by up to a maximum of 15% at our complete discretion and only where no payments are late or where collections activity has not been initiated by us.  
Should you not pay outstanding payments, or the Cancellation Fee as determined by us, you understand that we may use third party collection Services, credit reporting and other legal remedies in order to recover amounts owed by you to us, including further costs incurred by us in collection activities of your debt to us. You also understand that the Medical Practitioner, pharmacy or other service providers who have provided Services may become creditors to the debts you owe under this agreement and may separately take steps, legal or otherwise, to recover amounts owed by you to them. 

c. Where you initiate a chargeback or raise a dispute through your credit card merchant or bank for amounts previously paid to us for Services or medications provided to you, you understand that we may take immediate collection action as above in 10. b. We shall also counter the dispute raised by you by providing evidence that you have signed this agreement, agreed by phone, provided us with photo ID, received Services such as Medical Practitioner Services and medication provided by a compounding pharmacy. We shall also immediately place your program on hold pending cancellation. Where we are successful in countering the dispute or chargeback, your program shall be cancelled, and you will no longer be eligible for Services with our business unless you pay to us a chargeback administration fee of $500.  

11. Intellectual property 

a. Unless expressly stated otherwise, we are the sole owner of all the copyright, trademarks, trade names, patents and other intellectual property rights created, developed, subsisting or used in our information, works and other materials we provide you in providing our Services (MHC Materials), including but not limited to our education brochures and other information resources. 

b. Except to the extent required for you to receive and use the Services under this Agreement, or as required under law, you must not access, use, republish, reproduce, copy, sell, modify, or otherwise exploit (in full or in part), the MHC Materials, without our express prior written consent. c. This clause 10 survives the termination of this Agreement. 

12. Governing law 

This Agreement is governed by the laws of «Opportunities.Province» 

In the event you have any complaint, demand, proceeding or cause of action arising from or in connection with the Agreement, the relationship between you and us, the provision of services, and/or the standards of care or practice, that you will resort only to the courts and/or regulatory or administrative bodies of «Opportunities.Province»; and no other jurisdiction.
